Guidewire Software, Inc. Announces Exercise of Underwriters' Over-Allotment Option

SAN MATEO, Calif., Apr 20, 2012 (BUSINESS WIRE) --Guidewire Software(R), Inc. (NYSE: GWRE) today announced that the underwriters of its follow-on offering exercised in full their option to purchase an additional 1,200,000 shares, including 50,000 shares sold by Guidewire and 1,150,000 shares sold by selling stockholders, to cover over-allotments. As a result, the total follow-on offering size is 9,200,000 shares, which consists of 750,000 shares to be sold by Guidewire and 8,450,000 shares sold by selling stockholders. All shares sold in the offering are being sold at a price to the public of $28.25 per share. Guidewire will not receive any proceeds from the sale of shares by the selling stockholders.

J.P. Morgan, Deutsche Bank and Citigroup are acting as joint book-running managers for the offering and UBS, Stifel Nicolaus Weisel and Pacific Crest Securities are acting as co-managers.
