Guidewire Software, Inc. Announces Pricing of Follow-On Public Offering of Common Stock

SAN MATEO, Calif., Apr 19, 2012 (BUSINESS WIRE) --Guidewire Software(R), Inc. (NYSE: GWRE) today announced the pricing of 8,000,000 shares of its common stock at a price of $28.25 per share in a follow-on offering. 7,300,000 shares will be offered by the selling stockholders and 700,000 primary shares will be offered by Guidewire. In addition, Guidewire and the selling stockholders have granted the underwriters a 30-day option to purchase up to 1,200,000 additional shares of common stock to cover over-allotments, if any.

J.P. Morgan, Deutsche Bank and Citigroup are acting as joint book-running managers for the offering and UBS, Stifel Nicolaus Weisel and Pacific Crest Securities are acting as co-managers.
